Read an Agency Contract for the Last Day, Not the First

A marketing agency contract is easiest to judge from the end. Read term, notice, ownership and results wording first. Scope and fees can wait.

Read an Agency Contract for the Last Day, Not the First
Key takeaways
  • Read a marketing agency contract backwards, from the day it ends.
  • Four clauses decide the real cost: the minimum term stacked with the notice period, which entity holds the ad accounts and tracking, who owns tested creative and audiences, and how results are defined and remedied.

A marketing agency contract is easiest to judge from the end. The opening pages tell you what you are buying. The closing clauses tell you what you will be left holding, and it is the second half that decides what the engagement really costs. At Growth Bully, a Malta performance marketing agency, we sign these from both sides of the table, and the arguments we see almost never start in the scope section.

What should be in a marketing agency contract?

Scope, fees, term, notice, ownership of accounts and assets, data responsibilities, approvals and a change process. Nearly every contract covers that list. The useful question is not whether a clause exists but what it does on the day you leave, because that is when a vague sentence gets read against you.

So read it in this order, and the expensive parts surface first:

  1. Term and notice, treated as one number rather than two clauses.
  2. Which legal entity holds the ad accounts, the pixel, the analytics property and the CRM.
  3. Who owns creative, audiences and tracking configuration on the last day.
  4. How results are defined, and what happens if they are missed.
  5. Scope and fees last, because those are the terms you already settled out loud.

The pitch document is a separate reading job with separate traps, and we cover it in how to read an agency proposal.

How does a minimum term stack with the notice period?

They add up, and almost nobody adds them. A six month minimum term with a three month notice period is a nine month commitment if the notice cannot be served inside the term. Check whether notice may be given during the minimum period or only after it expires. That single sentence moves the real number.

Then check the renewal. Automatic renewal into a fresh minimum term, with a notice window that opens and closes weeks before the anniversary, is how a twelve month trial becomes a two year relationship. Ask for renewal on a rolling monthly basis after the first term, or for a notice window that stays open.

How do you terminate an agency agreement cleanly?

In writing, to the contact named in the notices clause, inside the window the contract defines, with a dated list of what you expect handed back. Verbal notice to your day to day contact is the most common mistake, and it is usually the one that costs an extra billing cycle.

A clean exit needs three things the contract should already name: who notice goes to, what gets returned, and when the last invoice falls. If the agreement is silent on the second of those, write the handover list into it before signing. Deciding it during a breakdown never goes well.

Who owns the ad accounts and tracking when the contract ends?

Whoever the platform says owns them, which is not always whoever paid. If the ad account sits inside the agency business manager, the spend history, the conversion data and the learning that history represents leave with the agency. Your invoices are not proof of ownership. The platform record is.

Insist that the ad accounts, the pixel or conversions setup, the analytics property, the tag manager container and the CRM sit in entities your company owns, with the agency added as a user. It costs nothing at the start and it is close to unrecoverable later. The full version of that argument is in who owns your ad accounts.

Who owns the creative and the audiences you paid to test?

Only what the intellectual property clause assigns to you, and many clauses assign less than buyers assume. Delivered files are usually yours. Working files, source footage, the ad library of tested variants and the audience definitions behind them are frequently retained or left unmentioned, which amounts to the same thing.

Ask for assignment on delivery rather than on final payment, and ask for the working files by name. The tested losers matter more than the winners here, because they are the record of what the market has already rejected. Buying that knowledge twice is a pure waste.

Which results wording is actually enforceable?

Anything tied to a number both parties can count from an agreed source, with a stated remedy. Everything else is decoration. Growth, visibility, brand awareness, best efforts and increased engagement cannot be breached, so they cannot be enforced, and a clause that cannot be breached is a comfort blanket rather than a term.

Three questions make the difference:

  • What exactly is being counted, and in which system of record?
  • Over what window, measured from which date?
  • If the number is missed, what specifically happens, and who decides?

Also check which side funds the advertising and whether the target assumes a budget you have not committed to. A results clause written against a spend level you later reduce is void in practice and arguable in writing.

What is a marketing retainer, and what should it guarantee?

A retainer buys continuous capacity rather than a finished deliverable, so the thing to pin down is not hours but outputs and response. Define the recurring outputs, the reporting cadence, the review rhythm and the response time on urgent work. A retainer with none of those named is a standing invoice.

Retainers are the right structure for anything compounding and the wrong one for a single build, and the trade-off between the two is set out in retainers versus projects. Either way, make sure the contract says what happens to unused capacity and whether it rolls forward.

What should you fix before you sign?

Four things, in this order: notice servable inside the term, every account and data asset in your own entity, intellectual property assigned on delivery including working files, and results defined against a countable source with a named remedy. Scope and fees you have already discussed. These four you probably have not.

If you are reading a contract because the current relationship is failing rather than because a new one is starting, the diagnosis matters more than the paperwork, and when to change agency is the better starting point. If you are hiring, our lead generation programmes run on the Decision-Maker Pipeline, and every account, pixel and CRM record stays in your name from day one. Tell us what a good month looks like and we will show you the terms that make it measurable.

Questions

The honest answers.

Can I cancel a marketing agency contract early?

Only on the grounds the contract gives you, which is usually material breach or a stated break clause. Outside those, early exit is a negotiation rather than a right, and you are normally negotiating against the remaining minimum term. Check for a break clause before signing, not after.

How much notice do I have to give a marketing agency?

Whatever the notice clause says, and the number on its own is misleading. What matters is whether notice can be served during the minimum term or only once it has expired, and whether renewal restarts the term. Add the two periods together to get your true commitment.

Should the contract say who owns the ad account?

Yes, explicitly, and the answer should be your company. Ad accounts, the pixel or conversions setup, the analytics property, the tag container and the CRM should sit in entities you own, with the agency granted access as a user. Paying the invoices does not make the account yours.

Is a performance guarantee in a marketing contract enforceable?

Only if it names a countable number, an agreed system of record, a measurement window and a remedy. Promises of growth, visibility or best efforts cannot be breached, so they cannot be enforced. Check too that the target does not assume an advertising budget you have not committed to.

Should I use a marketing agency contract template?

A template is a reasonable starting point for structure and a poor one for the clauses that matter. Templates tend to be strong on payment and weak on asset ownership, renewal mechanics and measurable outcomes. Use one to draft, then rewrite term, notice, ownership and results for your situation.
